These terms are applicable to all adverts accepted for inclusion on the Prop a Scene web site and should be read alongside the general Legal Notice to be found on the web site at www.propascene.com References below to "We/our/us" are to Prop a Scene. By submitting an advert to us, you shall be deemed to have accepted these terms.

1. Making an order

By sending your advert to us, you are requesting that the advert appears on our web site. We will contact you by e-mail to accept your advert or to inform you if we are not able to accept the advert for any reason. No contract is made between us until we have verified and accepted your advert copy. We will provide insertion as requested by you to the best of our ability. Insertion on specific pages is guaranteed but placing within the page cannot be guaranteed.

2. Means of payment

You shall pay for the advert in accordance with the rates in our published literature. Payment is made in advance and any failure to pay on time to renew an advertisement will result in removal of the advert from the web site without notice.

3. Usage Statistics

You acknowledge that Prop a Scene has not made any guarantees with respect to usage statistics in relation to the web site.

4. Renewal

Any renewal of the advertisement shall be at the sole discretion of Prop a Scene.

5. Your personal data

By placing this order, you are requesting that your advert appears on our web site. This means that the advert, including your name, address, telephone number, product and/or skills details (as appropriate) can be viewed by anyone with Internet access throughout the world. You consent to the publication of the data in this way. We may also use the information for statistical analysis and assessment of our business and/or to keep you informed about other services or products (including those supplied by third parties) which we or they may think might interest you. Please tell us if you prefer not to receive information about other services or products or if you do not want other companies to be given your personal information.

6. Changes, cancellations and interruptions

You have the right to cancel the advert for any reason at any time. If we receive the cancellation after we accept the advert you will not be entitled to any refund but we will remove your advert from the Prop a Scene web site forthwith.

It is technically impossible to provide a web site free from interruptions and (except to the extent that interruptions are caused by our negligence) we do not guarantee that your advert will be provided continuously or free of faults.

In addition, we will need to carry out maintenance of the web site from time to time and in doing so we shall attempt to keep the disruption to your advert to a minimum.

7. No assignment or resale of advertising space.

You may not resell, assign or transfer any of your rights hereunder. Any attempt to resell, assign or transfer such rights shall result in immediate termination of this contract without liability to Prop a Scene.

8. Our liability

Where we have accepted an advert but it does not appear on the web site at all you shall be entitled to a refund of the advert price unless the omission is caused by unforeseen circumstances beyond our reasonable control or because of your breach of contract. Our liability to you for breach of contract or negligence shall not exceed an amount equal to the price of any advert or series of adverts regarding the same matter placed by you on the site. In no event shall we be liable for any special, indirect, consequential or purely economic loss whatsoever or any loss of profit regardless of whether such losses are foreseeable and whether or not caused by our negligence arising out of or in connection with the use of the site. Nothing contained in these terms and conditions shall have effect so as to limit our liability for loss or damage arising out of personal injury or death or acts of fraud.

9. Force majeure

Prop a Scene shall not be liable for any delay or failure in performing any of its obligations hereunder if such delay is caused by circumstances beyond its reasonable control. Such events will include failures attributable to Prop a Scene’s Internet Server Provider, power failure, fire, flood, government action, earthquake, explosion, strikes, labour or material shortage or any other condition.

10. Advertisers warranty and Indemnity

You warrant and represent that: -

you have the right to publish the contents of the insertion which will be legal honest and truthful and without infringement of any rights of any third party including without limitation, intellectual property rights and without violating any law. We may amend the advert to ensure compliance with those requirements.

you have complied with the codes of practice issued by the Advertising Standards Authority in respect of electronic and online advertising and all other relevant industry codes of practice.

You agree to indemnify and keep indemnified Prop a Scene and hold Prop a Scene harmless against any and all expenses, damages and losses of any kind, including reasonable legal fees and costs incurred by Prop a Scene in connection with any claims, actual or threatened, of any kind, including without limitation, any claim of trademark or copyright infringement, libel, defamation, breach of confidentiality, breach of any statutory or regulatory duty, false or misleading advertising, or sales practices, arising from the advertisement and/or any material of the advertiser to which users can link through the advertisement.

11. English law

These terms and the contract of which they form a part shall be governed by English law and shall be subject to the non-exclusive jurisdiction of the English courts. In the event of any inconsistency between these terms and the Legal Notice, these terms shall prevail in respect of the purchase of adverts.
